Job Description

  • The Legal Counsel shall report to the General Counsel and shall advise the bank on matters related to general banking, corporate, commercial and financing matters among others, as well as being able to work with external local and international counsel and acting a board secretary.
  • Prepare and review legal documents relating to the Bank’s day-to-day operations, business and products in both Arabic and English.
  • Provide legal advice to the bank with respect to corporate banking /retail banking, and general corporate legal issues.
  • Advise the bank on a wide-range of matters including debt-facilities and their related documentation, facility letters, loan agreements, LCs, LGs and structured products.
  • Provide legal advice and transactional guidance to the corporate department, branches, credit/risk department, compliance department etc.  
  • Manage external counsel.
  • Draft and assist the different departments in reviewing the existing policies and procedures.
  • Draft and review contracts and correspondences internally for the compliance, human resources, operational risk, financial control departments etc.
  • Monitor and assist in managing the litigious files with external counsel.
  • Identify and proactively resolve policy, procedural and other legal and reputational issues in coordination with outside counsel, auditors, banking teams and internal committees where applicable.
  • Act as board secretary and provide  secretarial services to the Board/bank when required.
  • Conduct other duties and special projects as required.
Skills and Qualifications:
  • Bachelor of Law LLB
  • LLM from a renowned university is an advantage.
  • 5 to 7 years of experience with an emphasis on the commercial banking sector either at law firms or as in-house counsel.
  • Strong understanding of the Bahraini legal system.
  • In-house experience in the banking sector is a key advantage.
  • Strong drafting skills in both Arabic and English.
  • Experience of cross-border transactions.
  • Must be able to exercise independent judgment and provide practical advice.
  • Ability to work within an expanding business in multiple areas and on multiple tasks.
